These Terms of Use ("Terms") govern your access to and use of UHelp at uhelp.network. By creating an account or using UHelp, you agree to these Terms and to our Privacy Policy and Community Guidelines. If you do not agree, do not use UHelp.
UHelp is for adults aged 18 and older only. By using UHelp, you represent that you are at least 18 years old and have the legal capacity to agree to these Terms. Accounts found to belong to minors will be closed.
You are responsible for keeping your credentials secure and for all activity under your account. You must provide accurate information when registering. Tell us promptly if you suspect unauthorized use of your account.
UHelp is a community help technology and social platform. It provides tools for members and organizations to find each other, post and respond to Help, coordinate, confirm outcomes, and build credible history. In its ordinary Help workflow UHelp is not a bank, payment processor, escrow service, insurer, or crowdfunding service, and it does not take custody of funds or goods.
UHelp is operated by ImpactLife Community Support Foundation, an Incorporated Trustee registered with the Corporate Affairs Commission (CAC) of Nigeria. Technology development and management are provided by Tetragalaxy Technologies LTD.
Although UHelp is operated by the Foundation, ordinary Help activity on UHelp does not automatically constitute a Foundation programme, Foundation grant, fundraising campaign, or endorsement. Unless expressly identified as a Foundation-administered programme, Help arranged through UHelp is user-to-user or organization-to-user activity and does not constitute a grant, donation, financial commitment, or guarantee by ImpactLife Community Support Foundation.
Use UHelp honestly, respectfully, and lawfully. The Community Guidelines are part of these Terms and describe expected conduct and enforcement.
A Give Help post is an offer of Help. The owner of a Give Help post is the giver. The giver chooses which responder to select; the selected responder is the recipient.
A Need Help post is a request for Help. The owner of a Need Help post is the requester and recipient. The selected responder is the helper or giver. Post ownership does not determine who gives — the Help direction does.
CASH Help is monetary support. KIND Help is goods, services, or other non-monetary support. The type of Help determines what is shared: Receiving Account details apply only to CASH and are never disclosed in KIND Help.
For CASH Help, a recipient may add a Receiving Account — a bank account or crypto wallet — to receive funds. A Receiving Account always belongs to the recipient. It is private by default and is disclosed only to the authorized giver or helper in an eligible CASH Help workflow. You are responsible for entering accurate account and network details; transfers sent to incorrect details or the wrong network may be irreversible.
Ordinary CASH Help is sent directly by the giver or helper to the recipient using the recipient's disclosed Receiving Account, through the participants' own banks, wallets, or payment providers. UHelp does not hold, forward, or escrow these funds.
KIND Help is arranged directly between the participants — for example, delivering goods or providing a service. Take sensible precautions for in-person handovers and never disclose more private information than needed.
Help moves through clear stages: OPEN, HELPING, and COMPLETED. A post owner selects from eligible responders according to the post direction. Selection records who is authorized to give and who is authorized to receive.
When a giver or helper marks Help as sent or provided, the recipient is asked to confirm with "I Received It" or "I Did Not Receive It." Sent or provided does not mean received — only a truthful recipient confirmation completes the record. Silence is not automatic confirmation. Confirm truthfully; false confirmations are a serious violation.
If Help is not confirmed or a dispute arises, eligible participants can use UHelp's Resolution workflow. Resolution provides a structured case for the participants and UHelp to review what happened. Resolution decisions administer the platform record; they are not findings of criminal or civil liability.
Personal credibility reflects eligible, confirmed Help you have given. Receiving Help does not increase personal credibility. Organization credibility reflects eligible, confirmed Help given by the organization — it does not credit individual managers. CASH and KIND count equally, and the amount of Help does not increase points. Credibility is a community trust signal, not a guarantee of identity, honesty, safety, or outcomes.
UHelp verification supports trust and account eligibility and may be required under policy — for example, for receiving eligibility above a configured threshold. Submissions are reviewed through an internal workflow and can result in states such as submitted, under review, more information required, verified, or rejected. Verification does not guarantee honesty, safety, wealth, reliability, or Help outcomes.
Organizations are first-class UHelp identities. Creating or acting for an organization requires authority to represent it — you confirm you have that authority when you create one. UHelp's acceptance of that acknowledgement is not independent verification of your authority. Organization accounts are managed by authorized members; organization credibility belongs to the organization, not its managers.
Regular Community Posts are members-only social content and are not public. Post responsibly — other members can see what you publish.
Help Stories let members share Help experiences publicly or with members only. If your story identifies another person — such as a beneficiary — you must have their permission or another lawful basis to share identifiable information about them. Publishing a story does not make UHelp responsible for its accuracy.
Messaging starts with a message request; conversations form when requests are accepted. Do not use messaging for spam, harassment, fraud, or prohibited content. Never ask for or share passwords, one-time codes, or authentication secrets.
You keep ownership of the content you create. By posting on UHelp, you grant us a non-exclusive license to host, store, display, and process that content as needed to operate and improve the service at the visibility you choose. You are responsible for what you post, including having the right to post it.
The UHelp name, branding, and platform are protected. Do not copy, misuse, or misrepresent UHelp intellectual property or other members' content. If you believe content infringes your rights, report it through the platform or contact Support.
Members can report content or behaviour that violates these Terms. Moderators review reports and may limit or remove content, warn, restrict features, require verification, temporarily restrict, suspend, or terminate accounts, and preserve or refer information where legally required. We are not obliged to take the specific action a reporter requests, and reporter identity is not shown to the reported person.
UHelp provides Support for account, product, and general assistance through the Support Center and at support@uhelp.network. Support is different from Resolution (a specific Help dispute workflow) and from Reports (policy-violation reporting).
Posting false requests, offers, confirmations, or outcomes is a serious violation. We may remove content, restrict or terminate accounts, preserve evidence, and cooperate with lawful investigations where required.
Review our Trust & Safety guidance. UHelp is not an emergency service — in immediate danger or emergency, contact appropriate local emergency, law-enforcement, or medical services first.
UHelp does not guarantee that any request will be fulfilled, any offer accepted, or any Help completed. We connect members — the decision to give, receive, and follow through belongs to the participants.
Banks, wallets, payment providers, email services, and other third parties you use with UHelp are governed by their own terms and policies. UHelp is not responsible for third-party services outside our reasonable control.
We may restrict, suspend, or terminate accounts that violate these Terms, harm the community, or create safety or legal risks. You may close your account at any time via account deletion in Settings.
When you request deletion, your account enters a 30-day deletion-pending period you can cancel during. After expiry your personal information is anonymized, and minimized records needed for Help integrity, security, audit, or legal reasons may remain as described in the Privacy Policy.
We work to keep UHelp available but do not promise uninterrupted or error-free service. Features may change, and maintenance or incidents may cause temporary unavailability.
To the extent permitted by law, UHelp is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant the conduct, identity, or intentions of members or organizations, or the outcome of any Help.
To the maximum extent permitted by applicable law, ImpactLife Community Support Foundation, Tetragalaxy Technologies LTD, and their personnel will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of UHelp. Where liability cannot be excluded, it is limited to the amount (if any) you paid UHelp for the service in the 12 months before the claim, or where no payment was made, a reasonable and proportionate cap. Nothing in these Terms limits liability that cannot lawfully be limited.
To the extent permitted by law, you agree to indemnify and hold harmless ImpactLife Community Support Foundation and Tetragalaxy Technologies LTD from claims, losses, and expenses arising from your content, your unlawful or fraudulent use of UHelp, or your breach of these Terms — except to the extent caused by our own unlawful conduct.
Your use of UHelp is also governed by our Privacy Policy, which explains how we collect, use, share, and retain information.
We may update these Terms from time to time. We will post the revised Terms with an updated "Last updated" date and, for material changes, take appropriate steps to inform members — which may include asking you to acknowledge the updated Terms. Continued use after changes take effect means you accept them.
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.
Please contact us first at support@uhelp.network so we can try to resolve disputes informally. Where disputes are not resolved informally, they may be brought before the competent courts of Nigeria, subject to any mandatory rights you have under applicable law. Nothing in these Terms removes rights that cannot lawfully be waived.
If any part of these Terms is found invalid or unenforceable, the rest remains in effect to the fullest extent permitted by law.
Our failure to enforce a provision of these Terms is not a waiver of our right to enforce it later.
These Terms, together with the Privacy Policy and Community Guidelines, form the entire agreement between you and UHelp regarding the service, superseding prior versions.
